Terms and Conditions:

The following terms and conditions govern the direct sale of all equipment, software, and services provided by Impact Business Technology (Impact BT). When placing an order with Impact BT by signing a written quote or by submission of an online/eMail approval, the customer agrees to be bound by and accepts these terms and conditions.

1. Scope of Work

The scope of work that Impact BT agrees to perform for the customer shall be defined in the quote or in referenced documents. Impact BT is not required to provide any additional services to the customer other than that defined in the quote. Any additional work needs to be agreed to on a separate quote.

2. Warranties and Licensing

a. Hardware and software warranties are provided by the original manufacturer only. Impact BT provides no warranty on the equipment or software. However, Impact BT will make every endeavor to ensure the equipment or software is in good working order upon delivery.

b. All software is provided subject to the applicable end-user license agreement included with the product.

c. Impact BT provides a warranty on installation, configuration, and any other services performed. If a problem should arise within 30 days of completion, Impact BT will fix the problem free of charge. However, should the problem be deemed to have been caused by user error or tampering, the customer will be charged at the prevailing hourly service rate. Problems occurring more than 30 days beyond the completion date will be fixed upon approval by the customer and charged for at the prevailing hourly rate.

d. For any warranty claim on services performed, Impact BT's sole and complete liability shall be to remedy the problem within a reasonable period after notification of the issue. Impact BT's liability to the customer shall under no circumstances exceed the sums paid by the customer for the work performed. Any claims under this warranty must be brought within a period of six months of work completion, or they shall be deemed waived.

e. In no case shall Impact BT be liable to the customer for indirect, consequential or incidental damages, even if Impact BT has been advised of the possibility of such damages.

3. Payment

a. Payment for equipment is due upon delivery. Invoices not paid within 30 days after delivery will incur an interest charge of 1.5% per month, or 18% per year until payment is received.

b. Payment for service is due as a 50% deposit before work commences, and 50% net 30 days after work is complete. Invoices not paid within 30 days after delivery will incur an interest charge of 1.5% per month, or 18% per year until payment is received.

c. In the event of a default with respect to the payment of any invoice, customer shall be liable for all of Impact BT's reasonable attorney's fees, including all costs, disbursements and fees incurred in the collection of any amounts due.

4. Force Majeure

Impact BT shall not be liable for its delay or failure in performing work due to conditions or events beyond its reasonable control, including but not limited to, natural disasters, accidents, labor disputes or shortages, governmental laws, ordinances, rules and regulations, and inability to obtain materials, equipment or transportation.

5. Termination

a. The customer may terminate any work up to 10 working days before work is scheduled to commence. Cancellations received within less than 10 working days before the scheduled commencement of work will be subject to a cancellation fee. This fee will be assessed at 5% of the total cost of the work for each day under 10 working days before work is scheduled to commence.

b. If the customer terminates the work after work has commenced, customer shall not be entitled to a refund of any fees.

c. Any charges incurred by Impact BT as a result of a customer termination, including but not limited to restocking fees, shipping charges, and inability to return equipment shall be paid by the customer.

6. Governing Law

The validity, interpretation, and performance of the rights and obligations of the customer and Impact BT are governed by the laws of the State of Connecticut, without regard to its rules concerning conflicts of law. The parties hereto irrevocably consent to suit and submit to the jurisdiction of the courts, Federal and State, located in the State of Connecticut.

 

Impact BT reserves the right to change these terms and conditions without prior written notice at any time, at its sole discretion; the most current version of these terms and conditions will be posted on this web site, or available upon request. These terms and conditions may not be supplemented, modified, or altered by the use of any other document(s). Any attempt to alter, supplement, modify, or amend these terms and conditions will be null and void unless agreed to in writing by Impact BT.

These are the policies that Impact BT has developed. It should be noted that these are standard Terms and Conditions used in the industry. The purpose of these policies is to protect the Customer and Impact BT from misunderstandings and unnecessary legal conflicts.
